Welcome to Decagon Truck Dispatch LLC. These Terms and Conditions ("Terms") govern your use of our website and dispatch services. By engaging our services, you agree to be bound by these Terms.
1. Services Provided
Decagon Truck Dispatch LLC acts as a third-party logistics provider and dispatch service. We connect carriers with shippers and brokers to facilitate the transportation of freight. We are not a motor carrier and do not physically transport goods.
2. Carrier Responsibilities
By using our services, you (the Carrier) agree to:
- Maintain active operating authority (MC/DOT numbers) and comply with all FMCSA regulations.
- Maintain valid commercial auto liability and cargo insurance as required by law and broker contracts.
- Provide accurate and up-to-date information regarding your equipment, capacity, and driver availability.
- Communicate promptly regarding load status, delays, or issues.
3. Dispatch Fees and Payment
Carrier agrees to pay Decagon Truck Dispatch LLC a dispatch fee as agreed upon in the service agreement or rate confirmation. Payment terms will be specified in the individual load confirmation. We reserve the right to withhold dispatch services for unpaid balances.
4. No Guarantee of Loads
While we strive to provide consistent and profitable loads, Decagon Truck Dispatch LLC does not guarantee the availability, volume, or specific rates of loads. Market conditions, seasonal fluctuations, and broker availability may affect load offers.
5. Independent Contractor Relationship
The relationship between Decagon Truck Dispatch LLC and the Carrier is that of independent contractors. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, or joint venture.
6. Limitation of Liability
To the maximum extent permitted by law, Decagon Truck Dispatch LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, cargo damage, delivery delays, or accidents, arising out of or related to your use of our services.
7. Indemnification
Carrier agrees to indemnify, defend, and hold harmless Decagon Truck Dispatch LLC, its officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to Carrier's operations, negligence, or breach of these Terms.
8. Termination
Either party may terminate this agreement at any time with written notice. Any outstanding fees for services rendered prior to termination remain due and payable.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Decagon Truck Dispatch LLC is registered, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of our services after such changes constitutes acceptance of the new Terms.
